BY‑LAWS

ARTICLE I

Name

This organization shall be known as the Willamette Youth Soccer Association, hereinafter referred to as WYSA, and shall be affiliated with the Oregon Youth Soccer Association, hereinafter referred to as OYSA. This Association is and shall be known as a non‑profit organization.

ARTICLE II

Purpose

The purpose of WYSA shall be to promote and administer the game of soccer among all youths of WYSA; establish rules consistent with OYSA to junior soccer competition in the WYSA area, consistent with the principles of F.I.F.A., its laws and decisions; establish areas of jurisdiction of its member clubs; conduct and govern youth competition; and do such other things necessary and convenient to accomplish its primary purpose of teaching the game of soccer directly through its member clubs.

ARTICLE III

Authority

Section 1               The authority of WYSA shall be vested in the By‑Laws of WYSA as approved or amended, and the

charter issued by OYSA.

Section 2               The authority of WYSA shall be vested in a body known as the Board of Directors, which shall

exercise the right of decision on all matters pertaining to WYSA affairs.

ARTICLE IV

Boundaries

Section 1               The boundaries of WYSA are limited as specified by the boundaries of the member clubs.

ARTICLE V

Membership

Section 1               The membership of WYSA shall be composed of affiliated OYSA clubs. All such clubs are eligible

for membership subject to the approval of Board of Directors.

Section 2               Application for membership shall be submitted in writing to the Secretary of WYSA, with a copy of

the applicant club's constitution, by-laws and/or rules, a list of officers with addresses, phone numbers, email addresses, and blank codes of conduct forms for parents, coaches, and players.  This information shall be updated annually at the July Board of Directors Meeting.  The update must include by-law and/or rules changes; updated list of officers with addresses, phone number, and email addresses; and updated blank copies of coach, parent, and player code of conduct forms.  The applicant must be advised of and agree to the following conditions:

1.       To be considered for membership, a club must have a minimum of four (4) teams.

2.       Acceptance of a club requires unanimous approval of all WYSA member clubs.

3.       Non‑WYSA member clubs may, on approval of the Board of Directors, be given guest club status. Guest club status will allow a non‑member club to play in WYSA. Guest club status must be applied for annually and approved annually no later than the July meeting by a majority vote of the Board of Directors.   Guest clubs must play though a WYSA member club.  The host club will be responsible to ensure the guest club has and uses WYSA approved code of conduct player, coach and parent forms.  Guest clubs (if approved) must also provide jersey color for their players to be approved by the board no later than the August meeting.

4.       It is the responsibility of the applicant club to become familiar with, understand, and abide by the regulations and by‑laws of OYSA and WYSA as governing the playing the game of soccer. These will take precedence over any local club rules.

5.       WYSA shall have authority over all youth soccer players within member and guest clubs.

Section 3               All member clubs shall have one member on the Board of Directors. Each club will appoint a

representative to WYSA previous to the WYSA Annual General Meeting. This representative will sit on the WYSA Board of Directors through the following Annual General Meeting and will be eligible to hold a WYSA office. The Immediate Past President of WYSA, shall be a member of the Board of Directors for the next season to progress with continuity. He/she shall have no vote unless he/she is the club representative.

Each guest club shall have a non-voting representative to the Board of Directors. Each guest club will appoint said representative previous to the WYSA Annual General Meeting.  This representative will attend all WYSA Board of Directors' meetings through the following Annual General Meeting.   He/she will not be able to hold a WYSA office. If fines or fees are to be assessed to/for guest club actions, the fines will be charged to the host club.

Section 4               It is the duty of all member clubs to uphold the purpose of WYSA and to help in the supervision of

all soccer activities that takes place within WYSA. Each member club shall take all precautions reasonable to safeguard the players, game officials, and spectators. Each member club shall make reasonable effort to protect the property, public or private, from damage or abuse. Failure to comply with the rules may result in a formal course of action by the Board of Directors.

Section 5               All member clubs shall abide by the rules and regulations of WYSA. Any member club which

attempts to circumvent a decision rendered by WYSA or which damages the interests of WYSA by word or deed shall be charged with misconduct and shall face suspension, expulsion, or other lesser disciplinary action including fines and/or fees. The Board of Directors will direct the Judiciary Committee to review the full particulars relating to a charge of misconduct‑ and shall report their findings back to the Board of Directors. Upon a two‑thirds majority vote of the entire Board of Directors, the offending member club may be suspended or expelled, or the Board of Directors may take a lesser action that they consider appropriate including fines and/or fees.

 Section 6              All member clubs may be assessed dues for use by WYSA in running its affairs and performing the

required functions. Assessments will be determined by the Board of Directors according to the amount projected to sustain its operations.

Section 7               Failure to comply with provisions in Article V, Sections 2-6 may result in a member or guest club losing its status as a member club.  Removal from member club status will be determined by a two-thirds vote of the Board of Directors.


ARTICLE VI

Organization

Section 1               The Board of Directors will conduct the business of WYSA. The officers will be elected at the

Annual General Meeting from the member clubs' representatives. The Presidents of each member club may appoint a proxy when their representative is absent from a meeting of the Board of Directors. The Board of Directors shall have the right of decision on all matters pertaining to WYSA affairs.


 Section 2              Elected Officers and Duties.

A.       President ‑ The President shall supervise all activities of WYSA and the Board of Directors. He/she shall serve as chairman at all WYSA meetings, and shall be ex‑officio member of all committees except the Nominating Committee. He/she shall call WYSA meetings and Board of Directors meetings. As Chairman, he/she shall vote only in case of a tie or to form a tie.

B.       Vice‑President ‑ The Vice‑President shall assume the President's duties and to succeed to the powers of the president in his/her absence. He/she shall be the OYSA liaison and shall report to the Board of Directors on all matters pertaining to OYSA activities. He/she shall attend OYSA meetings and subject to prior instructions by the Board of Directors, represent VVYSA on matters covered at such meetings. He/she shall be a voting member of the Board of Directors.

C.      Secretary ‑ The Secretary shall attend to and file all correspondence. He/she shall record and prepare all minutes of meetings to be read at subsequent meetings. He/she shall notify all members of the Board of Directors regarding official records of WYSA. He/she shall be a voting member of the Board of Directors.

D.      Treasurer ‑ The Treasurer shall be responsible for the finances of WYSA. He/she will maintain a checking and/or savings account in the name of Willamette Youth Soccer Association with no less than three (3) signers authorized to make withdrawals. Each check or withdrawal shall require two (2) signatures. The Treasurer will report to the Board of Directors as necessary as to the condition of WYSA assets. He/she shall work with the President in preparing the Annual Budget and shall present the Annual Budget to the Board of Directors for approval. He/she shall be a voting member of the Board of Directors.

E.       Scheduling Chairman ‑ The Scheduling Chairman shall organize and supervise the scheduling and re‑scheduling of all games and fields for regular league competition in all divisions. He/she shall distribute game and field schedules for all divisions. He/she shall report to the Board of Directors concerning the availability and utilization of the fields within the WYSA area. He/she shall maintain liaison with all member clubs in control of fields regarding use, condition, and availability for playing soccer. He/she shall be a voting member of the Board of Directors.

F.       Judicial Chairman ‑ The Judiciary Chairman shall be chairman of the Judiciary Committee. He/she shall be a voting member of the Board of Directors.

G.      Referee Coordinator ‑ The Referee Coordinator shall be the liaison with member clubs regarding instruction and training for all club referees as in accordance with F.I.F.A., OYSA, and WYSA rules and in coordinating referee assignments. He/she shall handle and address complaints or issues brought to the Board of Directors regarding refereeing within WYSA. He/she shall be a voting member of the Board of Directors.

Section 3               The term of office for an elected officer shall be one year, with a maximum of two (2) consecutive

years in one office. Vacancies occurring subsequent of election shall be filled by a majority vote at a Special General Meeting, except the office of the President, which shall be filled by the Vice‑President, and a new Vice President shall be elected at a Special General Meeting. The term of office for officers elected by the Special General Meeting shall expire with the completion of the fiscal year.

Section 4               The Judiciary Committee shall be composed of not less than five (5) members including the Judiciary Chairman, with each member being from a different member club. These standing committee members are to be approved by the WYSA President and the Judiciary Chairman. The Judiciary Committee shall be responsible for reviewing all protests regarding the conduct of players, coaches, game officials, and spectators. The Committee shall also review charges of illegal player transfers. The Committee will meet at the direction of the President or the Board of Directors and the Committee shall decide what action is to be taken. The Committee shall have the power to act on all judicial affairs not requiring more than a two (2) consecutive game suspension. The more severe penalties shall be referred in writing to the Board of Directors with the Committee's findings and recommendations. The Board of Directors shall then call a special meeting to act on these recommendations. All decisions by the Judiciary Committee or the Board of Directors must be given to affected coaches, players, and clubs in a written statement as soon as possible.

Section 5               Tribunal ‑ upon two‑thirds affirmative vote of the Board of Directors, a Tribunal shall be appointed by the Board of Directors to review the conduct of an officer. Such Tribunal shall be appointed from members of member clubs not then serving on the Board of Directors, and each member club shall be represented on the Tribunal. The Tribunal shall serve for 15 days. Upon two‑ thirds vote of the Tribunal, a Special General Meeting shall be called for purpose of removing an elected officer from office prior to the expiration of his term. Upon affirmative vote of the accredited delegates at such meeting, the office shall be declared vacant, and it shall be subsequently filled in accordance with these By‑Laws.


ARTICLE VII

 Meetings

Section 1               Regular Business Meetings

§  Meetings of the Board of Directors shall be established by the Board of Directors as to the day of the month during the playing season, at a time and place specified by the President. Special meetings of the Board of Directors may be called by the President or upon request of two (2) or more Directors, to resolve matters that may arise between the regular meetings of the Board of Directors. Prior notification to each member of the Board of Directors is required.

 Section 2              Annual General Meetings.

§  Annual General Meetings shall be held during the month of April each year, proceeded by timely notification of time and place to all members of the Board of Directors. Such notification shall be made no later than thirty days preceding the Annual General Meeting. If there are any by‑law amendments being proposed, they must be mailed to Board of Director members at least 30 days prior to the meeting.

§  At the Annual General Meeting, each member club will have a voting delegate for each ten (10) teams, with a maximum of four (4) voting delegates per the following schedule based on the number of teams participating in WYSA during the previous Fall season:

  4 ‑ 14 Teams                      I Voting Delegate
15 ‑ 24 Teams                      2 Voting Delegates
25 ‑ 34 Teams                      3 Voting Delegates
35 Teams and Above         4 Voting Delegates

§  A member club's team will be counted if it plays in WYSA or WYSA directs it to another scheduling league, for determining voting delegates.

Section 3               Special General Meetings

§  Special General Meetings may be called at the discretion of the President, the Board of Directors or by the Tribunal. Member clubs shall be represented at Special General Meetings by the same number of voting delegates as at the last Annual General Meeting.

Section 4               Meeting Governance

§  The rules contained in the current edition of Robert's Rules of Order Revised shall govern WYSA in all cases to which they are applicable and in which they are not inconsistent with these By‑Laws and with any special rules of order WYSA may adopt.

ARTICLE VIII

Fiscal Year

Section 1               The fiscal year begins May 1st and ends April 30th.

ARTICLE IX

By‑Laws Amendments

Section 1               Amendments to these By‑Laws may be effected at the Annual General Meeting upon affirmative vote of two‑thirds of the accredited delegates present.

Section 2               A proposed amendments to the By‑Laws must be submitted in writing to the Secretary of WYSA not later than thirty (30) days preceding the Annual General Meeting. A hearing on proposed By‑Law amendments will be conducted at a Board of Directors meeting not later than fifteen (1 5) days prior to the Annual General Meeting. The hearing is open to general membership of WYSA.

Section 3               Any cause in which these By‑Laws are in conflict or become in conflict with the By‑Laws of OYSA, the By‑Laws of OYSA shall take precedence and these By‑Laws shall be amended at the next Annual General Meeting to eliminate the cause for confliction.

ARTICLE X

Provisional Rules

Section 1               The Board of Directors, by two‑thirds majority vote, may from time to time make temporary rules or regulations governing specific cases or occasions not provided for in these By‑Laws, but which may be necessary for the carrying out of the purpose of WYSA. Provisional rules so adopted shall be submitted to WYSA in accordance with Article IX as a proposed By‑Law amendment.

ARTICLE XI

Clubs

Section 1               Member clubs shall organize teams as per the OYSA sanctioned age chart to determine, by birthday, for which age group a player is eligible; register all teams with OYSA and submit to WYSA for scheduling, with the exception of board approved waivers.

Section 2               Teams may not exceed the WYSA adopted number of maximum players per age group without the Board of Directors approval. However, member clubs may establish team maximum size of any lesser number that meets their particular requirements. Final team rosters must be submitted to WYSA in accordance with OYSA registration procedures.

Section 3               WYSA clubs shall submit all recreational teams in the age groups U‑9 and older to WYSA for scheduling. A member club may request that a team or teams be excluded from scheduling by WYSA provided that the request is made in writing at the time team information is submitted. (The submission of said request in no way waves the requirement to submit data on all teams.)


Section 4               During the recreational season, WYSA scheduling takes precedence over any and all opportunities for play. If a team is found in violation of this provision, it shall be charged with misconduct and may be referred to the Judiciary Committee by either the President or the Board of Directors.

ARTICLE XII

Transfer of Players

Section 1               Player transfer and release shall be governed by the current OYSA Rules and Regulations.

ARTICLE XIII

 Playing Season

Section 1               The playing season shall be determined by the Board of Directors.

ARTICLE XIV

Insurance

Section 1               All member clubs will provide insurance acceptable to OYSA. Evidence of insurance coverage shall be maintained by each member club.

ARTICLE XV

Uniforms and Equipment

Section 1               Uniforms and equipment shall be the responsibility of the member clubs and their guest clubs. Member clubs shall insure that each player under their authority has a club jersey. The jersey worn by the goalkeeper shall be of a different and distinctive color. No player shall be permitted on the field of play without a uniform. The home team shall be responsible, through reversible or alternative jerseys, for wearing non‑conflicting colors with the visiting team. If in the referee's opinion, the two teams cannot easily be distinguished, the game shall be forfeited by the home team.   Games with teams from the same club shall follow home team rules regarding distinctive jerseys.

Section 2               Leather or synthetic leather soccer balls preferably with an all weather coating or treatment, shall be used in member clubs and WYSA competition.

Section 3               Member and guest clubs shall reserve specific colors or combinations subject to approval by the Board of Directors prior to the August meeting and entered into board meeting minutes. Established Member club colors take precedence over guest club colors.

Section 4               The authorized colors of each member club jersey are as follows:

§  Gladstone                                             Orange and Black

§  Milwaukie                                              Maroon and Gold

§  Molalla                                                   Orange and White

§  North Clackamas                                Green and Yellow

§  Oregon City                                          Red and White

§  WHK                                                      Royal Blue and Gold

Section 5               No player will be allowed to play in shoes with a front cleat or with shoes having metal or sharp cleats.

ARTICLE XVI

Athletic Policy

Section 1               Every player present and in proper uniform shall play approximately one‑half of the game.

Ineligible players due to disciplinary reasons, illness, or injury will be exempt from this requirement.

ARTICLE XVII

Rules of Play


Section 1               All games and competition under the jurisdiction of OYSA shall be conducted subject to the "Laws of the Game" as published or authorized for publication by F.I.F.A. (Federal International de Football Association) with those exceptions as amended by OYSA or WYSA as stated in the WYSA Rules of Play.

Section 2               The WYSA Rules of Play may be revised by the Board of Directors upon an affirmative vote of at least two‑thirds of all members of the Board of Directors.
